Job Description What is it like to work at BAE Systems? Remarkable. The Office of International Compliance at BAE Systems, Inc. consists of three attorneys - the VP and Associate General Counsel International Compliance, the Assistant General Counsel, International Compliance, and Counsel (the open position), as well as two Senior International Compliance Specialists. It’s a small, fun, tightly knit team with a lot of responsibility.
The Counsel, International Compliance assists Assistant GC and Associate GC with administration of BAE Systems, Inc.'s Foreign Corrupt Practices Act Program. The Counsel will be responsible for overseeing the administration and conducting due diligence on Defense Offset Partners, Industrial Cooperation Partners, and our Advisers (the BAE Systems term for marketing representatives and distributors) and Lobbyists. The Counsel will interface directly with the VP Industrial Strategy and the Offset teams in the various Company businesses, and be responsible for preliminary review of Offset plans, transactions and contracts, and work closely with the Associate GC for submission of Offset plans and transactions to the Company’s Senior Leadership approvers. The Counsel will assist with training for our Anticorruption, Advisers, and Offsets and Industrial Cooperation policies, and with reviewing international gifts and hospitality requests in conjunction with the business ethics teams. The Counsel, International Compliance, will also be involved in any investigations relating to possible violations of our policies, and for assisting with anticorruption Mergers and Acquisitions due diligence as requested.
In a non-COVID environment, this position requires significant international and domestic travel both for anticorruption due diligence interviews and for training Company personnel. The position requires a significant amount of contact with business development, export, and contracts personnel. This position requires a high level of interpersonal skills, high levels of tact and diplomacy, creativity in crafting compliant solutions to business problems where possible, and the moral fortitude to say “no” when it is necessary. It also requires an excellent sense of humor, and exceptional organizational skills and recordkeeping ability, including the ability to juggle competing deadlines and triage work effectively.
Required Education, Experience, & Skills
- U.S. Person (U.S. Citizen or permanent resident).
- Strong academic qualifications including a JD from an accredited law school, and membership in at least one State bar.
- Minimum of six (6) years of professional experience, with at least three (3) years focused primarily on FCPA in a law firm, other corporation, or the U.S. Government.
- Strong interpersonal skills.
- Strong writing skills.
- Strong organizational and recordkeeping skills.
- Travel internationally and domestically for up to two weeks at a time.
- Travel under normal circumstances comprises around 40% of the applicant’s job responsibilities.
Preferred Education, Experience, & Skills
- Prior experience with Defense Offsets.
- Foreign language facility in one of the following languages: Spanish, Portuguese, Arabic, Korean, Japanese, or Polish.
- Familiarity with Export Compliance including ITAR.
- Prior experience working in an in-house legal department.
- Knowledge of Excel.
- Knowledge of Articulate on-line training programs.
